Seeing Deathlok wasn't going to surrender, Cap grabbed Manning and tried to haul him to his feet, hoping he could get them both at least somewhat behind his shield (and hear the rest of whatever Manning was trying to say).

Something wrong with Deathlok? Wasn't there always something wrong with Deathlok?
Manning was hurt, and Cap didn't want to see the man injured further. Perhaps going along, for now, was the way to get Manning some help, and find out what was going on with Deathlok at the same time.
"Alright." he said, tossing down the shield.

After one of the Brand agents grabs Captain America's shield, Deathlock takes a long hard look at Manning. Manning returns his gaze and extend his right hand to reach out to the cyborg.

Cap was worried that Deathlok might just shoot Manning and finish the job, but now that he'd surrendered his shield, he was committed to this course of action. He held Manning up as best he could, and hoped for the best.

Looking for his shield, Cap only wanted to make sure that none of the scientists interfered with... well, whatever was happening. He didn't want to hurt anyone too badly, after all, he couldn't be certain who these men were, but he needed his shield to ensure he could stop their interference.

This same agent lifts a receiver and calls into it, "Security teams to Section G--ON THE DOUBLE!!"The men react, but at first Deathlock just touches his inhuman face and glowers at them. Captain America wanted to help Deathlok... but he also knew he had to stay out of the crazed cyborgs way. He decided it was best to take a breather and assess his options.
